GiG announces proposal for new board and nomination comitee

The Annual Meeting of Shareholders in Gaming Innovation Group Inc. (“GiG” or the “Company”) will take place at the Company’s office at Fridtjof Nansens plass 6, 0160 Oslo, Norway on 23 May 2018 at 11:00 a.m. local time, ref. announcement on 2 May 2018.

As stated in the Notice of Annual Meeting of Shareholders dated 2 May 2018, a proposal for directors and three members to the nomination committee would be announced at the latest one week before the annual meeting of shareholders together with an updated proxy where it is allowed to vote separately on each candidate.

The Board of Directors proposes that the existing board is re-elected, however with the exemption of Mr. Jon Skabo who will step down on his own initiative. The Company plans to call for a special meeting of shareholders in connection with the possible listing at NASDAQ Stockholm, and will then propose new board members that will reflect a listing in Stockholm. It is expected that the special meeting of shareholders will be held in the second half of 2018.

The Board of Directors proposes the following candidates for the new nomination committee:

Kjetil Myrlid Aasen (Norwegian, 42 years)

Mr. Aasen is a shareholder in, and represent Bryggen Holding AS, the Company’s largest shareholder (13.2%). Privately, Mr. Aasen hold an additional 0.6%. Mr. Aasen graduated from the University of Bergen with a master’s degree in Statistics. He is now a private investor and has previously worked in the sport betting and iGaming industry through own companies. Mr. Aasen has previously been the CEO and board member in GiG.

Mikael Riese Harstad (Swedish, 37 years)

Mr. Harstad is a shareholder in, and represent the investment company Optimizer Invest Ltd., the Company’s second largest shareholder (11.5%). Mr. Harstad is a partner and co-founder in Optimizer Invest Ltd. He has a long background within iGaming, and has previously held positions as Legal Counsel at Betsson AB (publ) and General Counsel at Betsafe.com. Mr. Harstad has a Masters of Law degree and has for several years been working with M&A and Banking and Finance at the Swedish law firm Mannheimer and Swartling.

Kjetil Andreas Garstad (Norwegian, 42 years)

Mr. Garstad represent Stenshagen Invest AS, a private investor holding 1.7%. Privately, Mr. Garstad hold an additional 0.1% through his wholly owned investment company Steel City AS. Mr. Garstad works as analyst and portfolio manager in Stenshagen Invest. He was previously head of oil services research and partner in Arctic Securities and has also worked with oil services equity research in SEB Enskilda and within the corporate finance department at UBS in London. He holds a Master of Science with emphasis in finance from the Norwegian School of Economics (NHH) in Bergen.
