Fried Frank as we know it came into being in 1971, with name partners Walter Fried, Hans Frank, Sam Harris, Sargent Shriver and Leslie Jacobson.

The New York office, the Firm's oldest and largest, concentrates on antitrust and competition, asset management, bankruptcy and restructuring, capital markets, commercial litigation, executive compensation & employee benefits, finance, intellectual property and technology, mergers and acquisitions, private equity, real estate, securities and shareholder litigation, tax, trusts and estates, and white-collar criminal defense and securities enforcement.

Our Washington, DC office was opened in 1949 as one of the first, and now one of the largest law firms headquartered elsewhere. It has strong capabilities in antitrust and competition, arbitration and alternative dispute resolution, asset management, commercial litigation, energy, finance, financial services, government contracts, international trade and investment, mergers and acquisitions, private equity, real estate, securities regulation and enforcement, and tax.

Our international offices have strong expertise in private equity, asset management, finance, dispute resolution, tax and mergers and acquisitions. Our London office was established in 1970 as one of the first European offices of a US law firm. Our Paris office was founded in 1993, and our Frankfurt office was established in 2004. Fried Frank's Hong Kong office opened in 2006 and our Shanghai office opened in 2007.

  • Represented Deutsche Bank as financial advisor to Dole Food Company in its agreement to sell its worldwide packaged foods and Asia fresh produce businesses to Itochu Corp. for $1.685 billion in cash.
  • Represented The Bank of New York Mellon Trust Company in a resounding $308 million litigation victory against the US subsidiary of Banco Santander SA, Spain's largest bank.
  • Represents Deutsche Bank as financial advisor to Medicis Pharmaceutical Corporation in its US$2.6 billion acquisition by Valeant Pharmaceuticals International, Inc.
  • Represented Deltek, a New Mountain Capital portfolio company, in its $1.1 billion acquisition by private equity firm Thoma Bravo.
  • Advises a private equity consortium in connection with its preliminary proposal to acquire Focus Media Holding Limited for US$27 in cash per American depositary share, or US$5.40 in cash per ordinary share. The going-private transaction would be China's largest leveraged buyout in history. The consortium consists of affiliates of FountainVest Partners, The Carlyle Group, CITIC Capital Partners, CDH Investments, China Everbright Limited, and the Chairman of the Board and CEO of Focus Media.
  • Represented New York Genome Center, Inc. in connection with its 20-year lease of 170,000 square feet at 101 Avenue of the Americas, a high-rise property in SoHo owned by Edward J. Minskoff Equities, Inc. The $47 million facility build-out will include sequencing, bioinformatics, and research labs, an Innovation Center to advance new technologies, and computing infrastructure to handle the processing and storage of massive amounts of new data. The facility will also include a ground-floor auditorium and cafe, training facilities and administrative offices.
  • Advised GS Capital Partners and certain other existing equity holders of Cequel Communications Holdings, LLC in their agreement to sell Suddenlink to BC Partners, CPP Investment Board and Suddenlink's management team for US$6.6 billion.
  • Represented Goldman Sachs and Credit Suisse, financial advisors to Human Genome Sciences), in connection with its agreement to be acquired by GlaxoSmithKline for US$14.25 per share in cash, or approximately US$3 billion.
